Non-Disclosure Agreement

Non-Disclosure Agreement (NDA) with Release of Liability

This Non-Disclosure Agreement ("Agreement") is effective as of January 1, 2024 between Faheemah Salahud-Din Floyd, also known as Griotbae and F.H Salahud-Din ("Facilitator")  who facilitates the We Be Writing Community ("Community") and all its subsequent events and programs including We Be Write-In writing circle ("Circle") and between the registered participants ("Participants") of the community and the  We Be Write-In writing circle ("Circle") held virtually and in person. This agreement is for the entire We Be Writing Community and all it's events and programs. 

1. Purpose The Participants and Facilitator agree to enter into this Agreement to establish confidentiality obligations regarding the exchange of creative works, ideas, and other proprietary information shared within the community.

2. Definition of Confidential Information Confidential Information includes, but is not limited to, written works, ideas, concepts, plot outlines, character sketches, storylines, dialogue, and any other information disclosed within the We Be Writing Community ("Confidential Information").

3. Obligations of Participants:

A. Confidentiality: Participants agree to maintain the confidentiality of all Confidential Information shared within the We Be Writing community.

B. Non-Disclosure: Participants shall not disclose, reveal, or make use of any Confidential Information outside of the We Be Writing Community without explicit written consent from the disclosing party.

C. Protection: Participants shall take reasonable measures to protect the Confidential Information from unauthorized access, use, or disclosure.

4. Exclusions from Confidential Information Confidential Information does not include information that: A. Is or becomes publicly known through lawful means. B. Was rightfully known to the receiving party prior to disclosure. C. Is independently developed by the receiving party without use of or reference to the Confidential Information.

5. Release of Liability Participants acknowledge that Facilitator, Faheemah Salahud-Din Floyd (Griotbae), who writes under the name F.H. Salahud-Din, shall not be held responsible for any breaches of this Agreement by Participants, including but not limited to theft or misuse of Confidential Information.

6. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of California and the United States of America, without regard to its conflict of laws principles.

7. Dispute Resolution Any disputes arising out of or related to this Agreement shall be resolved through mediation  in accordance with the rules of the American Arbitration Association.

8. Entire Agreement This Agreement constitutes the entire understanding between the Participants and Facilitator regarding the Confidential Information shared within the We Be Writing Community and supersedes all prior agreements, whether written or oral.

9. Participation, Registration and Attendance Acknowledgment By joining the We Be Writing Community, registering, participating  and attending the events and programs offered, each Participant acknowledges, understands, and agrees to be legally bound by all the terms and conditions outlined in this Non-Disclosure Agreement, including the release of liability clause in section 5. Participants further acknowledge that failure to comply with the terms of this Agreement may result in legal consequences, and they accept full legal responsibility for their actions related to the Confidential Information shared within the Circle.

Participant's Acknowledgement: By joining this community and registering and attending the events and programs, you affirm your acceptance and understanding of the terms of this Agreement.
