Terms & Condition For Da Garden Membership

1. Introduction

Welcome to Da Garden. These Terms and Conditions govern your access to and use of Faheemah Salahud-Din Floyd aka Griot Bae’s membership services. By subscribing to our service, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree with any part of these terms, please do not subscribe to our service.

2. Membership

1.  Eligibility: Da Garden is a safe space for Black people to learn, heal, and grow free of oppression and racism. The safety of our members is of the utmost importance,  as such you must be Black to join this learning platform. You must also be at least 18 years old to join.
2.  Account Setup: You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
3.  Subscription Fees: Membership fees are billed every month on the day you subscribed, and are non-refundable, except as required by law.
4.  Renewal: Your membership will automatically renew each month on the date you initially subscribed. You will be billed in advance monthly and your membership fee is non-refundable; there are no refunds or credits for partially used periods.
5.  Cancellation by You: You may cancel your membership at any time by accessing your account settings. It is your responsibility to properly cancel your membership. The cancellation will take effect at the end of the current paid billing cycle. There are no refunds for membership fees already paid, and you will continue to have access to the service until the end of the current billing period.
6.  Changes by Us: Griot Bae reserves the right at any time to modify or discontinue, temporarily or permanently, the membership service with or without notice. In the event of a permanent discontinuance, unused portions of prepaid membership fees will be refunded.

3. Content Ownership and Use

1.  Intellectual Property Rights: All content provided by Griot Bae, including but not limited to texts, graphics, logos, images, audio, videos, written texts, books, and teaching materials, as well as any other forms of intellectual property such as designs, ideas, and thoughts, is the exclusive property of Faheemah Salahud-Din Floyd (Griot Bae) and protected by copyright, trademark, and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, labels, or restrictions contained within any content accessed through the service and not to modify, sell, transfer, or create derivative works based on the content.
2.  Confidentiality (Non-Disclosure Agreement): As a member of Da Garden, you may receive information that is considered confidential and proprietary to Griot Bae and the I Be Writing platform, including secret business information, trade secrets, and any other information that gives Da Garden members a competitive advantage. You agree not to disclose any confidential information obtained from the service to any third party unless required by law or with prior written consent from Griot Bae. This obligation of confidentiality shall survive the termination or expiration of your membership and/or these Terms and Conditions.
3.  Your Content: You retain all rights and ownership of your content. You grant Griot Bae a limited, revocable, non-exclusive license to host and display your content solely for the purposes of operating and maintaining the platform. Griot Bae will not use, reproduce, distribute, modify, adapt, create derivative works from, or commercially exploit your content.
4.  Prohibited Use: You are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information.

4. Disclaimers and Limitation of Liability

Griot Bae provides her service on an "as is" and "as available" basis without any warranties, expressed or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Griot Bae is not liable for any damages or losses resulting from your use of the service.

5. Indemnification

You agree to indemnify, defend, and hold harmless Griot Bae and her affiliates, officers, agents, and employees from any claim or demand made by any third party due to or arising out of your breach of these Terms and Conditions or your violation of any law or the rights of a third party.

6. Changes to Terms and Conditions

Griot Bae reserves the right to change these terms and conditions at any time. We will notify you of any changes by posting the new terms on our site. Your continued use of the service after any such changes constitutes your acceptance of the new Terms and Conditions.
